a. Article I, Sec 1 Club Name. The name of the club shall be know as the:

b. Article IV, Sec 1 Proposals for Membership shall be:
a. Submitted to the Board for consideration, or
b. Referred to the Board, who shall inform club members of the new members' decision for membership, which will be acted upon by the Board after a 2-week period.

c. Article VI, Sec 1 Club Officers shall be President, President-elect, Vice-president(s), Treasurer, Secretary, and Immediate past President (6). The number of Vice Presidents shall be determined.

Section 2 specifies that only the President elect and Vice president positions or the Secretary and Treasurer positions may be combined. If desired, other officers such as assistant secretary and assistant treasurer may be elected.

d. Article VI, Sec 5 In the absence of the President, the President-elect or Vice President shall preside at all meeting of the club and Board.

f. Article VII, Sec 1 The Board shall consist of the officers and a minimum of 5 directors.

Guidance: 5 directors with 25 to 29 members; 6 if more than 30 members

g. Article VII, Sec 3 Board of Directors shall serve for a:
a. 2-year term with members serving 1- and 2-year terms in the initial election to ensure continuity, or
b. 1-year term.

h. Article XI, Sec 1 The club shall hold:
a. Weekly meeting, or
b. Regularly scheduled meeting twice per month.

Note: . Most Kiwanis clubs meet weekly. Some members may have trouble keeping up with the meeting times or just lose interest if they meet only twice a month. Also, it could take over twice as long compared to meeting weekly to become organized and productive in the community.

i. Article XI, Sec 5
Note only: The annual meeting of the club shall be held at a regular meeting no earlier than the first meeting in April and no later than the second week in May to elect club officers and directors.

j. Article XII, Sec 1 Election of officers and directors:

b. including the Secretary, shall be held at the annual meeting.

l. Article XVIII, Sec 1 The initial approval of the membership induction fee and dues and billing cycle are determined and approved by the club membership during the organizational meeting.

The Board will determine when and if future changes are needed and make recommendations to the club membership for approval per Article XVIII, Section 1. A 2/3 vote of members present at a regular meeting is required for approval.

Note: Members should consider the following in setting their club dues and billing frequency.

1. Set New Member Induction Fee: Propose $35.00 (a one-time fee for current billing cycle)

Note: Club dues tend to cluster in the $80 to $120 per year range

Propose: Collect dues annually to save administrative time.

Proposed Exception: At the request of a member, Treasurer may collect dues over a different time interval as long as the member has remitted a sufficient amount of dues to cover the member's Kiwanis International and K-T District dues for the semi annual Kiwanis International invoice due.
The Board should determine the best timing to initiate the collection of member dues.
Note: It is important to ensure that sufficient funds will be available to cover the club invoice for the next Kiwanis International billing cycle. In other words, it will be good business practice to start collecting dues relatively soon if other than the Semi Annual cycle ( September and March) is selected.

m. Club Incorporation:
Proposal: The club affirms its intent to complete the incorporation of said club within one year from the date of which this club receives its official charter from Kiwanis International.

n. Sponsored Youth Faculty Advisors: (Optional)

Proposal: Recognize the dedicated service and commitment of the city and county school systems' Sponsored Youth Faculty Advisors to oversee the organization and operations of the Key Clubs, Builders Clubs, and K-Kids Programs sponsored by the club by paying their Kiwanis International and Tennessee-Tennessee semi annual dues. The annual cost per faculty advisor is $64.80. Faculty Advisors receive Club attendance credit for attending sponsored youth meetings and participating in service projects.
